and she is backing off?

Anticipating this would happen, he wrote a letter to the board
concerning that issue.

Charlie Wagner retains his seat with 119 votes against Manny Marques
with 80 votes.

Dave Johnson was elected to chair the meeting.
-
Despite the efforts of the majority of the board to sabotage the
meeting before it even was announced, a quorum was determined.
Total population of District 2 is 1955 members therefore 59 were
need for a quorum. About 74 were counted.
-
Four of the resolutions presented (see the document) and voted
on, passed. The meeting quorum was challenged and no new business
took place. Only about 53 present of 59 required. The remaining
proposals could not be brought to the floor.

In it, the board's attorney, Bruce Wiggins (yes, he can chew gum
and walk), is saying, in a round about way, the District 5 proposals
will not be voted on today because 1 - they are not on the agenda,
2 - this extended meeting is void for lack of quorum, even if
they were on the agenda. (In other words, if you don't like that
idea, sue me) Remember, the proposals, even if it
were legal to delay a vote until the 2014 annual meeting, were
not on the 2013 meeting agenda for "consideration" anyway.
This was intentional, and the responsibility of the board
Secretary, and guess who that is.

In the videos below, see Trustee Wagner making a motion that the
District 5 proposals be approved "in totality" - this
would expedite the process and welcomed. However, it is assumed
by the members that the proposals would be *voted* upon at this
meeting and not in the 2014 Annual Meeting (or other general meeting).
As you know by now, these proposals were not on the
ballot in May, and by extension, at this meeting. This "oversight"
was intentional to prevent them being voted on or even "considered".
The board was censured by the members for its effort at sabotaging
the organization, and that censure was rejected.

JUNE
8, 2013 - CONTINUANCE DOCUMENTS
Wagner's
motion is something that just has to be played out to force the
issue of voting today or another day. It is abundantly clear that
every effort is being made by the lawyers, managers, and Trustee
Wolberg and his 3 supporters on the board to prevent those proposals
from ever being voted on, period. Their lawyers are paid for by
the members, and should be assisting the members in getting those
proposals through the system and not incapacitating the process
at every turn. What the members want is more than clear. How much
longer the members are prepared to be swindled while footing the
bill remains to be seen.

One
members comment:
As expected, Wednesday's meeting was nasty.
Sustained
efforts to sabotage reform efforts are evident by a few board
members, who still have the majority vote, with the assistance
of their attorney.
It
is highly unlikely the continuance of the Annual Meeting will
take place. That wasn't up for discussion, by intention.
No doubt behind
the scenes conniving continues. Comments by trustees who normally
would never speak up on serious issues, suddenly find their voice,
albeit with some uneasiness. Coaching is all too evident. What
is legal and what is not legal is irrelevant because there are
no consequences for their behavior. They have their defensive
attorney and the members pay the fees.
It should
be more than apparent by now that The Board has become dysfunctional
and spiteful against the members. There is only one option, throw
the bums out. There will be an opportunity later this year, unless
there is a petition drive earlier.

Motion Update:
The
board, management and attorney are pushing hard to deny member's
rights. This Emergency Motion (see below) will ask Judge Mitchell
(who ruled for the members when they were sued by the board) to
look at the action of refusing the District 5's proposed amendments
to the bylaws. The courts are our only recourse at the moment.
Let us hope for a good outcome.

We do know that the legally passed proposed amendments to the
By-laws passed in October 2012 at the District 5 meeting is being
blocked from the ballot by the terrible trio of management, lawyer
and board. An EMERGENCY MOTION FOR TO SHOW CAUSE in this matter
has been filed with Mitchell the Judge by designation as this
action is in violation of SEC bylaws and that Judge's prior ruling.

We also know that the trustee amendments that failed by more than
a five to one margin at the 2012 Annual Members' Meeting are back
on this ballot along with 3 proposed amendments from the floor
at the 2012 meeting.
How do we tell what is what or which is which? Watch for the Enchantment
and match up the ballot with the notice. We will be working on
this problem and get the correct information out as soon as possible
as we did last year.

Judges Order 
The
Judge ruled, again, the members have a right to access records
and documents, except those forbidden by law. The law already
protects private records such as personnel files and the like.
It remains to be seen, however, if the SEC management will
comply.
